1. Acceptance of Terms

By accessing or using the Auspex platform ("Service") operated by Auspex Trade Ltd ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

3. Description of Service

Auspex provides an AI-powered cryptocurrency trading platform that includes:

  • Trading Signals: AI-generated signals with entry prices, take-profit levels, stop-loss levels, and confidence scores for cryptocurrency spot and perpetual futures markets.
  • Embedded Wallets: Non-custodial cryptocurrency wallets provided through our integration with Privy, allowing you to hold and manage funds directly within the platform.
  • Auto-Execution (Agent Mode): An optional feature that automatically executes trades on your behalf based on AI-generated signals, using your embedded wallet funds on supported exchanges including Hyperliquid.
  • Leveraged Trading: The ability to trade cryptocurrency perpetual futures with leverage ranging from 1x to 20x through supported exchanges.
  • Position Monitoring: Automated monitoring of open positions including trailing stop-losses, partial take-profit execution, and stop-loss management.

The Service is provided for informational and educational purposes only. Auspex does not provide financial advice, investment advice, or any other type of professional advice.

4. SaaS Platform and User Control

Auspex is a software-as-a-service (SaaS) platform that provides AI-powered trading tools, signals, and optional automation features. All features of the Service are tools made available to you. You retain full control at all times and are solely responsible for how you use these tools.

Specifically:

  • You choose whether to enable or disable auto-execution at any time.
  • You choose what leverage level to set (from 1x to 20x).
  • You choose your position size and risk parameters.
  • You choose whether to act on any signal — signals are informational and carry no obligation.
  • You can close positions manually, pause the system, or withdraw your funds at any time.

The platform does not make trading decisions on your behalf. It provides tools that you configure and activate at your own discretion. When auto-execution is enabled, the system executes trades according to the parameters you have set — it operates as a tool following your configuration, not as an autonomous decision-maker or advisor.

5. Not Financial Advice

The signals, analysis, and information provided through the Service do not constitute financial advice, investment advice, trading advice, or any other sort of advice. You should not treat any of the Service's content as such. Auspex does not recommend that any cryptocurrency should be bought, sold, or held by you. Nothing on the Service should be construed as an offer, solicitation of an offer, or advice to buy or sell any cryptocurrency.

You alone are responsible for determining whether any investment, trading strategy, or related transaction is appropriate for you based on your personal objectives, financial circumstances, and risk tolerance.

6. Risk Disclosure

Cryptocurrency trading involves substantial risk of loss. The value of cryptocurrencies can fluctuate widely, and you may lose some or all of your investment. Past performance of any trading signal or strategy is not indicative of future results. You should only trade with funds you can afford to lose.

7. Leverage and Liquidation Risk

The Service allows you to trade with leverage of up to 20x on supported exchanges. Leverage amplifies both gains and losses proportionally. You acknowledge and accept that:

  • At 20x leverage, a 5% adverse price movement results in a 100% loss of your position margin, triggering forced liquidation.
  • Liquidation is an automatic, irreversible closure of your position at the prevailing market price, which may be significantly worse than the last quoted price due to slippage.
  • During periods of high volatility, extreme leverage can result in liquidation within minutes or seconds.
  • Losses from leveraged trading can exceed the initial margin deposited for a position.
  • The maximum leverage available for a given asset is determined by the exchange (Hyperliquid) and may be lower than 20x for certain assets.

You are solely responsible for selecting your leverage level and understanding the associated risks. The platform provides risk warnings at higher leverage levels, but these warnings do not constitute a recommendation or guarantee of suitability.

8. Auto-Execution (Agent Mode)

If you enable auto-execution, you authorise the Service to automatically place, modify, and close trades on your behalf using your embedded wallet funds on supported exchanges. By enabling this feature, you acknowledge and accept that:

  • Trades are executed based on AI-generated signals without manual confirmation from you.
  • The platform is not a fiduciary and does not owe you a fiduciary duty. Auto-execution is a convenience feature, not a managed account or investment management service.
  • System failures, network outages, exchange downtime, API errors, or blockchain congestion may result in delayed, failed, or partially filled orders.
  • Execution prices may differ from signal prices due to market movement and slippage.
  • The platform may be unable to close positions or execute stop-losses during extreme market conditions or exchange outages.
  • You remain solely responsible for funding your trading account and for all profits and losses resulting from auto-executed trades.

You may disable auto-execution at any time through your account settings. Disabling auto-execution does not automatically close any open positions.

9. Embedded Wallets

The Service provides embedded cryptocurrency wallets through our integration with Privy Inc. You acknowledge and accept that:

  • Wallet private keys are generated and managed by Privy's secure infrastructure. Auspex does not have access to your private keys.
  • When auto-execution is enabled, the platform has delegated authority to sign transactions on your behalf using Privy's agent wallet system.
  • You are responsible for maintaining access to your account, which controls access to your embedded wallet.
  • In the event of a Privy service disruption, you may be temporarily unable to access or move your funds.
  • Transactions executed through your embedded wallet interact with smart contracts on public blockchains and are irreversible once confirmed.

10. Account Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

11. Subscription and Payments

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly basis. All payments are non-refundable except where required by law. We reserve the right to change subscription pricing with 30 days' notice.

12. Prohibited Use

You agree not to: (a) use the Service for any unlawful purpose; (b) redistribute, resell, or share signals without authorisation; (c) attempt to reverse-engineer, decompile, or extract the algorithms used by the Service; (d) use automated means to access the Service beyond what is provided through our API; (e) impersonate any person or entity; (f) manipulate or attempt to manipulate markets using information obtained from the Service.

13. Account Suspension and Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for any reason including but not limited to: (a) violation of these Terms; (b) suspected fraudulent, abusive, or illegal activity; (c) non-payment of subscription fees; (d) regulatory requirements or legal obligations; (e) extended period of inactivity.

Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow you to withdraw any funds remaining in your embedded wallet prior to account closure, subject to applicable legal and regulatory requirements. Open positions may be closed at the prevailing market price.

14. Limitation of Liability

To the fullest extent permitted by law, Auspex Trade Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from: (a) your use of or inability to use the Service; (b) any trading decisions made based on signals provided by the Service; (c) any trades executed or not executed through the auto-execution feature; (d) any unauthorised access to or use of our servers; (e) liquidation of leveraged positions; (f) exchange, network, or blockchain outages or failures; (g) smart contract vulnerabilities or exploits.

15. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: exchange outages or API failures, blockchain network congestion or downtime, distributed denial-of-service attacks, internet infrastructure failures, smart contract exploits, regulatory actions or sanctions, natural disasters, pandemics, war, terrorism, or geopolitical events.

16. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Auspex Trade Ltd. The Service is protected by copyright, trademark, and other applicable laws.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in this clause limits your rights under mandatory consumer protection laws of your country of residence.
